In the context of the domiciliation, corporate services, fund administration, legal support and other professional services rendered by the Bank to various entities of the group and to clients, the Senior Legal Counsel leads and manages legal counselling, corporate and investment funds set up.

My client is a bank which is developing its legal department.
Description
- Participation and counselling on group level projects;
- Day to day relationships with clients and third party service providers;
- Advising on corporate structuring and on other different matters on a project based basis
- Set up, corporate maintenance and liquidation of companies and funds from various jurisdictions;
- Draft and review of memorandum and articles of association, statutes, private placement memorandum, related contracts (SLAs, Investment Management and Advisory Agreements, Administration Agreements, Custody Agreements, etc);
- Draft and review of contracts and documents related to real estate acquisition projects (financing and structuring documentation, SPAs, NDAs, regulatory demands, etc);
- Review of documentation related to different investments made by the various entities;
- Preparation and revision of different contracts such as leases, pledges, loans, CFAs, fiduciary agreements, SPAs, Share Transfer Agreements, etc;
- Dealing with group trademark related matters;
- Liaising with regulatory authorities and external agents in order to ensure compliance with all legal and regulatory requirements of the various entities;
- Following up on legal and regulatory developments;
- Reporting at group level.
- At least 7 years of relevant experience in the financial sector, with skills in corporate, funds and tax law and regulations.
- English fluent level required, preferably fluent in French
- Graduate diploma in Law, with master degree (LLM) (not excluding).

- Have a legal function within a bank but with a corporate services background
