Senior Associate, Legal – MUR212
Greenfield is pleased to be working exclusively with a Private Equity firm on the search of a Senior Associate, Legal in charge of the daily management of the holding companies. The local Luxembourg office is a small team with constant interaction with colleagues from all over the world. You will have direct contact with top management and have the possibility to act as an appointed board member in certain entities. The function also includes legal tasks in relation to the Luxembourg alternative investment fund manager which the group has. The Role: · Maintain general corporate housekeeping of the Luxembourg holding companies; preparation of Board and shareholders resolutions, updating shareholders’ registers and commercial register registrations, keeping up to date the electronic corporate housekeeping files; · Daily management of all Luxembourg holding companies, e.g., work with local accountants and tax advisors to prepare the annual accounts and tax returns of all the Luxembourg holding companies, maintain payroll, (organize) payment of invoices, interact with local service suppliers and review all contracts which the holding companies would enter into; · Establish new holding entities in Luxembourg. This includes preparation of formation documents, operating agreements, bylaws, etc. as required; · Handle all proxies, Power of Attorneys, incumbency/officer certificates and other documentation for all Luxembourg holding entities as needed; · Prepare corporate documentation related to approval of acquisitions in Europe; · Assist with preparation of documentation related to debt and equity financing of acquisitions in Europe at Luxembourg holding level, e.g., (C)PEC documentation, capital increases, loan agreements; · Assist with review and organize execution of engagement letters with service providers for transaction related services, as well as Letters of Intent and non-disclosure agreements; · Assist with gathering and analsying AML/KYC documentation in relation to investors and (potential) sellers and purchasers of portfolio companies; · Organize and participate as Director at Board of Director meetings of the Luxembourg holding companies; · Organize shareholders meetings for the different holding companies; · In charge of due date identification and management for the different transactions and portfolio companies in Europe. Your Profile: · University degree in law or similar · Solid experience as legal counsel, or similar background in corporate law in Luxembourg · Experience with acquisition transactions, debt and equity financings and dissolutions, as well as some experience with a Luxembourg AIFM and some Luxembourg tax knowledge is a plus · Fluent English.
